TERMS OF USE FOR SANAA BOMBA

1. Introduction and Acceptance

Welcome to Sanaa Bomba ("Platform"), a digital marketplace operated by Chillnet Company Limited, a company registered under the laws of the United Republic of Tanzania, with its office at Mikocheni B, Dar es Salaam ("Company," "we," "us," or "our"). These Terms of Use ("Terms") govern your access and use of our website, mobile application, and related services. By registering for, accessing, or using the Platform, you ("User," "you") agree to be legally bound by these Terms. If you do not agree, you must not use the Platform.

2. Definitions

· "Artist" means a User who uploads, publishes, licenses, or sells their original creative work on the Platform.

· "Consumer" means a User who browses, purchases, or licenses Content.

· "Content" means any digital material, including but not limited to music, audio, visuals, images, videos, text, and designs, uploaded to the Platform.

· "Service" means the features and functionalities provided by the Sanaa Bomba platform.

3. Eligibility and Registration

· You must be at least 18 years old and capable of forming a binding contract to use the Platform.

· You are responsible for maintaining the confidentiality of your account and password and for all activities under your account.

· You agree to provide and maintain accurate, current, and complete information.

4. Artist Obligations and Intellectual Property License

· Ownership: You retain all copyright and intellectual property rights in your original Content.

· License to Sanaa Bomba: By uploading Content, you grant Chillnet Company Limited a non-exclusive, worldwide, royalty-free, sublicensable license to host, store, reproduce, transmit, publicly display, and distribute your Content solely for the purpose of operating, promoting, and marketing the Platform and its Services.

· License to Consumers: You grant Consumers who purchase your Content a limited, non-exclusive, non-transferable license for personal, non-commercial use, unless a specific commercial license is explicitly purchased. The specific terms of the license are defined by you, the Artist, at the point of sale.

· Warranties and Representations: You represent and warrant that you are the sole creator and owner of the Content or have all necessary rights, licenses, consents, and permissions to grant the licenses herein, and that the Content does not infringe any third-party rights or violate any applicable law.

5. Consumer Obligations

· License Grant: Purchasing Content grants you a limited, personal use license as defined by the Artist and these Terms. You do not acquire ownership of the intellectual property.

· Restrictions: You may not copy, resell, redistribute, publicly perform (except as permitted), modify for commercial use, or make the Content available on any public or peer-to-peer file-sharing platform.

· Support: Payments for Content, minus applicable fees, are directed to the supporting Artist.

6. Financial Terms

· Artists set the retail price for their Content.

· Sanaa Bomba charges a commission on each sale. The current fee structure is published on our Pricing Page.

· All sales are final unless required by Tanzanian consumer law. Refunds are handled on a case-by-case basis at our sole discretion.

· Payouts to Artists will be processed according to our published schedule upon reaching the minimum payout threshold.

7. Prohibited Activities

You may not use the Platform to:

· Upload unlawful, infringing, fraudulent, or harmful Content.

· Violate any applicable local, national, or international law.

· Harass, abuse, or defame others.

· Attempt to gain unauthorized access to systems or interfere with the Platform's operation.

8. Limitation of Liability

To the maximum extent permitted by Tanzanian law, Chillnet Company Limited and its affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or data, arising from your use of the Platform. Our total liability shall not exceed the amount you have paid us in the last six (6) months.

9. Termination

We reserve the right to suspend or terminate your account and access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms.

10. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the United Republic of Tanzania, without regard to its conflict of law provisions. Any dispute arising from these Terms shall be subject to the exclusive jurisdiction of the courts located in Dar es Salaam, Tanzania.

11. Amendments

We reserve the right to modify or replace these Terms at any time. We will provide notice of material changes via the Platform or email. Your continued use after such notice constitutes acceptance of the new Terms.
